Terms of Service

Article 1 (Purpose and Operator)

These Terms govern the use of the Website and the services made available through it by the Company. By accessing or using the Website, users agree to be bound by these Terms.

Article 2 (Definitions)

1. “User” means any individual or entity that accesses the Website and uses the services provided, whether as a registered member or as a non-member visitor.
2. “Services” means all information, product catalogs, technical specifications, inquiry handling, and communication channels offered on or through the Website.
3. “Content” means all text, images, videos, product data, logos, trademarks, layouts, and other materials made available on the Website.

Article 3 (Effectiveness and Amendment of Terms)

Article 5 (Service Interruption)

1. The Company may temporarily suspend Services for reasons including, but not limited to, system maintenance, equipment replacement, malfunction, or communication failures.
2. The Company shall not be liable for any interruption or failure of Services caused by force majeure events, including natural disasters, war, civil unrest, strikes, pandemics, government actions, or other circumstances beyond the Company’s reasonable control.

Article 6 (User Obligations)

Users shall comply with applicable laws and regulations, these Terms, and any operational notices posted on the Website. Users shall not:

1. Submit false, misleading, or unlawfully obtained information through any inquiry form or communication channel;
2. Post, transmit, or distribute illegal content, spam, malware, or any material that infringes upon the rights of third parties;
3. Interfere with or attempt to gain unauthorized access to the Website, its systems, or related infrastructure;
4. Use automated means (including scraping or harvesting tools) to access or copy Content without prior written consent, except for lawful search-engine and AI-crawler activity expressly permitted by the Website’s robots.txt;
5. Engage in any other conduct that violates applicable laws or the legitimate rights of the Company or third parties.

Article 7 (Company Obligations)

1. The Company shall make reasonable efforts to provide stable and reliable Services.
2. The Company shall protect the personal data of Users in accordance with the Company’s Privacy Policy and applicable laws and regulations.
3. The Company shall process legitimate inquiries and complaints from Users in good faith and within a reasonable period.

The Company maintains a separate Privacy Policy that describes how personal data of Users is collected, processed, and protected. The Privacy Policy is posted on the Website and forms part of these Terms by reference.

Article 9 (Intellectual Property)

2. The Company shall not be liable for damages caused by the User’s own fault or by any failure of the User’s equipment, network, or third-party services.
3. Product specifications, illustrations, and technical data displayed on the Website are provided for general reference only. Final product specifications, quantities, pricing, and delivery terms are confirmed exclusively in individual commercial contracts, purchase orders, or quotations.
4. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the use of the Website or reliance on any Content.

Article 11 (External Links)

The Website may contain links to external websites or resources operated by third parties. The Company does not control and is not responsible for the content, policies, or practices of any external sites. Users access such external sites at their own risk.

Article 12 (Dispute Resolution and Governing Law)

1. Any dispute arising from or relating to these Terms or the use of the Website shall first be resolved through good-faith consultation between the parties.
2. If amicable resolution cannot be reached, the dispute shall be submitted to the competent courts having jurisdiction over the location of the Company’s principal office in Dong Nai Province, Vietnam.
3. These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws principles.

Article 13 (Severability)

If any provision of these Terms is held invalid, illegal, or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the intent of the original.
